Modification of this Agreement
Irene Z Design reserves the right to change this Agreement at any time by publishing a revised version of this Agreement on the Site. You are responsible for regularly reviewing this Agreement. Continued use of the Site following any such changes means you accept and will abide by these changes.
Liability Disclaimer
Since the materials in this site are provided "as is" and without warranties of any kind, either express or implied. To the fullest extent permissible pursuant to applicable law, Irene Z Design disclaims all warranties, express or implied. Irene Z Design will not be liable to any party for any direct, indirect, or other consequential damages for any use of this website, or on any other hyper linked website, including, without limitation, any lost profits, business interruption, loss of programs or other data on your information handling system or otherwise, even if we are advised of the possibility of such damages.
Indemnification
You agree to defend, indemnify, and hold harmless Irene Z Design its suppliers, affiliates, third party service providers, and their respective directors, officers, employees, owners, licensors, licensees and agents from and against all claims, damages, losses, costs and expenses, including reasonable attorneys' fees, arising out of a breach of this User Agreement by you and/or your activities in connection with the Site or any services related to the Site.
Miscellaneous
This User Agreement and any operating rules for the Site established by us constitute the entire understanding of the parties with respect to the use of the Site. This Agreement shall be deemed to include all other notices, policies, disclaimers and other terms contained in the Site; provided, however, that in the event of a conflict between such other terms and the terms of this Agreement, the terms of this Agreement shall control. We control and operate this Site from our offices in the United States of America. We do not represent that materials on the Site are appropriate or available for use in other locations. Persons who choose to access this Site from other locations do so on their own initiative and at their own risk and are responsible for compliance with local laws, if and to the extent local laws are applicable. This Agreement is governed by the laws of the State of Maryland, in the United States of America, without regard to conflicts of law provisions. You consent to the exclusive jurisdiction and venue of courts of Maryland, in the United States of America, in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.
No Waiver, Severability
No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. The section headings used herein are for convenience only and shall not be given any legal import. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site must be filed within one (1) year after such claim or cause of action arose or be forever barred.
